If Prime 1 had more interesting bossfights it would be close. But I hated every singe one—from that stupid plant at the beginning to the overly-difficult endboss, not one was either awe-inspiring or exciting. And that sucks because in almost every other respect the game was a worthy successor.

Lands of Lore: Guardians of Destiny. I guess that a lot of people saw it as streamlined compared to Throne of Chaos (no currency, no party, simplified skill and inventory system) but it is still very slick and a great FPS/RPG. I don't know any game from the 2.5D era that had more detail in scenery, semi-non-linearity, and good old adventure. You could remove all the combat and RPG elements and it would still be fun exploring and clicking around on stuff.

WarCraft II, better than the original?
I had fond memories of that game too, until I bought a copy of Battle Net edition. I was amazed how stupid the AI was, at least, in the solo campaign (not a MP fan). It barely attacks you and, once it runs out of gold (which happens way too quickly), well... you get the picture. I remember breezing through the Orc campaign because of that.
I say WarCraft III is a better sequel, despite some annoyances and crappy difficulty settings.

I wasn't quite sure if a second sequel (e.g. Warcraft 3) counted, but have you played the original Warcraft? You have to press 'M' or 'A' and click on the ground whenever you wanted your troops to move, no right-click. It was a control nightmare.

No, I haven't. I don't really care honestly, since I suppose it is also a nightmare to make it run on XP.
But hey, if Metroid 3 counts, why couldn't WarCraft III?

Banjo-Kazooie: Nuts and Bolts. Admittedly, it's pretty different from the originals, but it recognizes that the traditional platformer game was just tired and introduced an engaging and innovative vehicle creation system.
Other sequels I consider to be huge improvements (though of course, many will disagree!)
Chrono Cross
Final Fantasy VIII
Metal Gear Solid 4 (though each game improves on its predecessor, IMHO, this is big one)
Front Mission 3
Half-Life 2
Hitman 2
